1. Acceptance of Terms

By downloading, installing, or using the Lily newborn tracking mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Lily ("we," "our," or "us").

2. Description of Service

Lily is a mobile application designed to help parents and caregivers track information about their newborns and infants, including:

  • Feeding times and amounts
  • Sleep duration and patterns
  • Diaper changes
  • Doctor appointments and vaccinations
  • Growth measurements
  • Medical notes and observations
  • Activity tracking (premium feature)

The App provides data visualization, reminders, multi-user sharing, and optional AI chat features.

3. User Accounts and Registration

3.1 Account Creation

To use Lily, you must create an account by providing:

  • A valid email address
  • Your name
  • A secure password

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Responsibilities

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

3.3 Email Verification

We strongly recommend verifying your email address to ensure account recovery capabilities. Unverified accounts may have limited functionality.

4. Acceptable Use

4.1 Permitted Use

You may use the App only for lawful purposes and in accordance with these Terms. Specifically, you agree to use the App solely for tracking information about your own children or children for whom you have parental or caretaker authority.

4.2 Prohibited Activities

You agree NOT to:

  • Use the App for any unlawful purpose or in violation of any applicable laws
  • Share your account credentials with unauthorized individuals
  • Attempt to gain unauthorized access to the App, other users' accounts, or our servers
  • Use the App to track information about children without proper authorization
  • Reverse engineer, decompile, or disassemble the App
  • Remove, obscure, or alter any proprietary rights notices in the App
  • Use automated scripts, bots, or other means to access the App
  • Transmit viruses, malware, or other malicious code
  • Interfere with or disrupt the App's servers or networks
  • Abuse the AI chat features by sending excessive requests or harmful content

5. Subscription and Payment Terms

5.1 Free Tier

Lily offers a free tier with limited functionality:

  • Up to 15 events per day
  • Basic tracking features (feeding, sleep, diaper, doctor appointments)

5.2 Full Access Subscription

Full Access unlocks:

  • Up to 500 events per day
  • Activity tracking
  • All premium features

5.3 Pricing and Payment

Subscription pricing is displayed in the App and may vary by region. Payment will be charged to your Apple ID account at confirmation of purchase.

5.4 Automatic Renewal

Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

5.5 Managing Subscriptions

You can manage your subscription and turn off auto-renewal in your Apple ID account settings. Subscriptions may be managed by the user and auto-renewal may be turned off by going to the user's Account Settings after purchase.

5.6 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds will be provided for the unused portion of any subscription period.

5.7 Price Changes

We reserve the right to change subscription prices at any time. Price changes will be communicated in advance and will not affect your current billing period.

6. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

6.1 User Content

You retain ownership of all data and content you input into the App ("User Content"). By using the App, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the App's services to you.

6.2 Data Backup

While we use industry-standard security measures to protect your data, we are not responsible for data loss. You are responsible for maintaining your own backups of important information.

7. Multi-User Access and Sharing

7.1 Sharing Baby Profiles

The App allows you to invite other users (caretakers, family members) to access baby profiles. When you invite someone:

  • You are responsible for ensuring you have proper authority to share the child's information
  • You can assign roles (Admin, Caretaker, View-Only) to control access levels
  • You can revoke access at any time

7.2 Shared User Responsibilities

All users with access to a baby profile agree to:

  • Use the information solely for the child's care and well-being
  • Respect the privacy of the child and family
  • Not share access credentials or profile information with unauthorized third parties
  • Comply with all applicable laws regarding child data protection

8. Optional AI Chat Features

8.1 Third-Party AI Services

The App offers optional AI chat features powered by Claude AI (Anthropic) or ChatGPT (OpenAI). To use these features:

  • You must provide your own API key from Anthropic or OpenAI
  • You are responsible for any charges incurred through your API usage
  • Your questions are sent directly to the AI service provider
  • Your baby's health data is NOT automatically sent to AI services

8.2 AI Limitations

AI chat responses are for informational purposes only and should not be considered medical advice. Always consult with qualified healthcare professionals for medical concerns.

9. Medical Disclaimer

IMPORTANT: Lily is a tracking tool, not a medical device or service.

  • The App is not intended to diagnose, treat, cure, or prevent any disease or medical condition
  • The App does not provide medical advice
  • Always consult qualified healthcare professionals for medical concerns about your child
  • In case of emergency, call 911 or your local emergency services immediately
  • Do not rely solely on the App for medical decisions

We are not responsible for any health-related decisions made based on information tracked or displayed in the App.

10. Intellectual Property

10.1 App Ownership

The App, including all content, features, functionality, design, code, and trademarks, is owned by Lily and is protected by copyright, trademark, and other intellectual property laws.

10.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use.

10.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of the App
  • Distribute, sell, lease, or sublicense the App
  • Use the App's name, logo, or trademarks without permission
  • Remove or alter any copyright notices or proprietary markings

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the App will be error-free, secure, or uninterrupted
  • Warranties regarding the accuracy, reliability, or completeness of content

We do not warrant that:

  • The App will meet your specific requirements
  • The App will be available at all times or in all locations
  • Any defects will be corrected
  • The App will be free from viruses or other harmful components

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (OR $100 IF GREATER)

This limitation applies to any claims arising from:

  • Use or inability to use the App
  • Unauthorized access to your account or data
  • Errors, bugs, or interruptions in the App
  • Third-party content or conduct
  • Any other matter relating to the App

13. Indemnification

You agree to indemnify, defend, and hold harmless Lily and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your User Content
  • Your sharing of baby profile access with unauthorized individuals

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

  • Deleting your account in the App's Settings
  • Contacting us at support@lilyapp.com

Upon termination, your right to use the App will immediately cease.

14.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • We are required to do so by law
  • Continued provision of the App would cause us legal liability or harm our reputation

14.3 Effect of Termination

Upon termination:

  • Your access to the App will be revoked
  • Your data will be deleted within 30 days (unless required by law to retain)
  • You will remain liable for any outstanding subscription fees
  • Sections of these Terms that should survive termination will remain in effect

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of this page
  • We will notify you via in-app notification or email for significant changes
  • Continued use of the App after changes constitutes acceptance of the new Terms
  • If you do not agree to the changes, you must stop using the App and delete your account

16. Children's Use

The App is intended for use by parents and caregivers who are at least 13 years of age. We do not knowingly collect personal information directly from children under 13.

The App stores information about babies and infants (entered by parents), but does not target or collect data directly from children.

If you believe we have collected information from a child under 13, please contact us immediately.

17. Third-Party Services

The App integrates with third-party services including:

  • Firebase (Google): Authentication, database, storage
  • Apple Services: Push notifications, calendar integration, StoreKit
  • AI Services (optional): Claude AI (Anthropic), ChatGPT (OpenAI)

Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party service providers.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

18.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

  1. Informal Negotiation: Contact us at support@lilyapp.com to attempt to resolve the dispute informally
  2. Binding Arbitration: If informal negotiation fails, disputes shall be resolved through binding arbitration

18.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

19. Geographic Restrictions

The App is intended for use in countries where iOS devices are officially supported. We make no representation that the App is appropriate or available for use in all locations.

If you use the App from outside the United States, you are responsible for compliance with local laws.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lily regarding the App and supersede all prior agreements and understandings.
